IntoAEC Terms of Use

These terms and conditions (“Terms”) outline the agreement between Siara Tech Solutions Pte Ltd and its affiliates (“Siara,” “Us,” “We,” “Our”) and the Users who create an account with Us (“You,” “Your”). By using Our services, You agree to these Terms and confirm that You have read and understand our Privacy Policy. You also confirm that You have the legal authority to agree to these Terms.

1. Grant of Rights

You are granted a limited, non-exclusive, and revocable right to use Our Services under Your Customer Account for internal business purposes, provided that You comply with these Terms. Both You and the Customer are responsible for any violations of these Terms.

2. Authorization to Process Personal Data

By accepting these Terms, You authorize Us, as the Data Processor, to process Your Personal Data as instructed by the Data Controller (the Customer) for the purpose of providing the Services.

3. Restrictions on Use

3.1 Acceptable Use: Depending on Your access level, You may use the Services only as intended. You agree not to misuse the Services, such as by distributing, modifying, or attempting to gain unauthorized access. You also agree not to transmit harmful or illegal content through the Services.

3.2 User Registration: If You are provided with a login, password, or other security details, You must keep them confidential and notify Us immediately of any unauthorized use. Your account information must be accurate and kept up-to-date. We may disable Your account if You fail to comply with these Terms.

3.3 Responsibility: You are responsible for all activities under Your account, including actions by anyone You allow to use the Services. Failure to maintain the confidentiality of Your login information may result in suspension or termination of Your account.

3.4 Access: You may only use the Services on devices You own or control, in accordance with these Terms.

3.5 Content Responsibility: We are not responsible for any content You post or upload. You are solely responsible for any loss or damage related to Your content.

3.6 Liability: We are not liable for any loss or damage resulting from Your reliance on information obtained from the Services, including any content posted by other Users.

4. Intellectual Property Rights

4.1 Ownership: We retain all intellectual property rights to the Services, including but not limited to the software, underlying technology, and documentation. You are granted only a limited right to use them as per these Terms.

4.2 Feedback: If You provide feedback, We may use it freely and without restriction.

4.3 Limited Rights: You are granted limited rights to use the Services. All other rights remain with Us.

5. Term, Termination, and Suspension

5.1 Term: Your account remains active for the same duration as the Customer’s Terms of Service.

5.2 Termination by Us: We may suspend or terminate Your access if You violate these Terms, if We are required by law, if the Customer instructs Us, or if We believe Your use harms others. We will provide You with notice of termination where feasible, including the reason for such termination.

5.3 Termination by Customer: The Customer may terminate Your account at any time.

6. Confidentiality and Data Privacy

6.1 Confidentiality: You must protect Our confidential information with at least the same care You use for Your own. You may only use it to fulfil Your obligations under these Terms.

6.2 Data Privacy: We process Your Personal Data in compliance with all applicable privacy laws, including GDPR, CCPA, and others as relevant. The Customer is responsible for ensuring compliance with privacy laws and policies applicable to its jurisdiction.

6.3 Disclosure: We may disclose Your information to comply with the law, protect our rights, or report suspected illegal activity.

7. Disclaimer of Warranties and Limitation of Liability

7.1 Services Provided “As Is”: Our Services are provided “as is,” with no warranties. We do not guarantee uninterrupted or error-free service.

7.2 No Professional Advice: We do not provide tax, legal, or accounting advice. Consult professionals for such advice.

7.3 Legal Proceedings: Any legal action related to Your use of the Services must be brought by the Customer, not by You individually.

7.4 Limited Liability: Our liability for any claim related to the use of the Services shall be limited to SGD 500 or the total amount paid by You for the Services in the last six months, whichever is less. We are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, or data.

8. Indemnification

You agree to indemnify Us against any claims, damages, or losses arising from Your breach of these Terms.

9. Miscellaneous

9.1 Amendments: We may update these Terms, and Your continued use of the Services indicates acceptance of the new Terms.

9.2 Assignment: You cannot transfer Your rights under these Terms without Our consent.

9.3 Entire Agreement: These Terms, including any referenced documents, constitute the entire agreement between Us.

9.4 Third-Party Services: Your use of third-party services is subject to their terms, and We are not responsible for them.

9.5 Force Majeure: We are not liable for failures caused by events beyond Our control, like natural disasters or government actions.

9.6 Jurisdictional Obligations: Users in the USA, India, and Singapore must comply with specific legal requirements. Users in the USA must comply with federal and state laws, including but not limited to data privacy laws (e.g., CCPA). Users in India must adhere to the Information Technology Act, 2000, and relevant rules. Users in Singapore must comply with the Personal Data Protection Act (PDPA).

9.7 Governing Law and Dispute Resolution: These Terms are governed by Singapore law. Disputes will be resolved through mediation or arbitration under the rules of the Singapore International Arbitration Centre (SIAC).

9.8 Notices: Notices will be delivered by mail or email to the address You provided when creating Your account.

9.9 Relationship: These Terms do not create any partnership, joint venture, or employment relationship.

9.10 Severability: If any part of these Terms is found unenforceable, the rest remains in effect.

9.11 Survival: Certain clauses, like those related to intellectual property and confidentiality, will remain in effect even after termination.

10. Data Breach Notification

In the event of a data breach that affects Your Personal Data, We will notify You in accordance with applicable data protection laws.

11. Compliance with Local Laws

You agree to comply with all applicable local, state, national, and international laws and regulations when using Our Services.

12. Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, without liability to You.

13. Fees and Payment

You agree to pay all fees associated with Your use of the Services in accordance with the pricing and payment terms specified at the time of purchase. All fees are non-refundable unless otherwise stated.

14. Governing Language

These Terms are provided in English. If they are translated into any other language, the English version shall prevail in case of discrepancies.

15. Definitions

Specific terms used in these Terms have defined meanings, such as “Affiliate,” “Confidential Information,” “Customer,” and others as detailed in the original document.

GRANT OF RIGHTS
  1. You are granted a limited, non-exclusive, and revocable right to access and use the Service(s) under your Customer Account solely for internal business purposes, provided that you comply with these Terms. Both you and the Customer are responsible for any violations of these Terms.
AUTHORIZATION TO PROCESS PERSONAL DATA
  1. By accepting these Terms, you authorize us, acting as a Data Processor, to process your Personal Data in accordance with the instructions of the Data Controller (the Customer) for the purpose of providing the Service(s).
RESTRICTIONS ON USE
  1. Acceptable Use. Depending on your access level, you may use the Service(s) only as intended. You agree not to misuse the Service(s), including by distributing, modifying, or attempting to gain unauthorized access to the Service(s). You also agree not to transmit any harmful, unlawful, or illegal content through the Service(s).
  2. User Registration. Where you are provided with a login, password, or other security credentials, you must keep such information confidential and notify us immediately of any unauthorized use of your account. You agree to ensure that all account information provided is accurate and kept up to date. We reserve the right to disable or suspend your account if you fail to comply with these Terms.
  3. Responsibility. You are responsible for all activities conducted under your account, including any actions taken by individuals whom you authorize to access the Service(s). Failure to maintain the confidentiality of your login credentials may result in suspension or termination of your account.
  4. Access. You may access and use the Service(s) only on devices that you own or control and solely in accordance with these Terms.
  5. Content Responsibility. We are not responsible for any content that you post, upload, or otherwise make available through the Service(s). You remain solely responsible for any loss or damage arising from your content.
  6. Liability. We are not liable for any loss or damage resulting from your reliance on information obtained through the Service(s), including any content posted or shared by other users.
INTELLECTUAL PROPERTY RIGHTS
  1. Ownership. We retain all right, title, and interest in and to the Service(s), including, without limitation, all intellectual property rights in the software, underlying technology, and documentation. You are granted only a limited right to use the Service(s) in accordance with these Terms.
  2. Feedback. If you provide any feedback, suggestions, or ideas regarding the Service(s), you agree that we may use such feedback without restriction or obligation to you.
  3. Limited Rights. Except as expressly stated in these Terms, no rights or licenses are granted to you, whether by implication or otherwise. All rights not expressly granted remain with us.
TERM, TERMINATION, AND SUSPENSION
  1. Term. Your account will remain active for the same duration as the Customer’s applicable Terms of Service.
  2. Termination or Suspension by Us. We may suspend or terminate your access to the Service(s) if you violate these Terms, if required by law, if instructed to do so by the Customer, or if we reasonably believe that your use of the Service(s) may harm us, other users, or third parties. Where feasible, we will provide you with notice of such suspension or termination, including the reason for taking such action.
  3. Termination by Customer. The Customer may terminate your account at any time in accordance with its agreement with us.
CONFIDENTIALITY AND DATA PRIVACY
  1. Confidentiality. You must protect our confidential information using at least the same degree of care that you use to protect your own confidential information. You may use such confidential information solely for the purpose of fulfilling your obligations under these Terms.
  2. Data Privacy. We process your Personal Data in compliance with applicable data protection and privacy laws, including the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other relevant laws. The Customer is responsible for ensuring compliance with all privacy laws and policies applicable within its jurisdiction.
  3. Disclosure. We may disclose your information where required to comply with applicable laws, to protect our rights or property, or to investigate and report suspected illegal activities.
DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
  1. Services Provided “As Is”. Our Service(s) are provided “as is,” with no warranties. We do not guarantee uninterrupted or error-free service(s).
  2. No Professional Advice. The Service(s) do not constitute tax, legal, accounting, or other professional advice. You should consult qualified professionals before making decisions based on information obtained through the Service(s).
  3. Legal Proceedings. Any legal claim or proceeding arising out of or relating to your use of the Service(s) must be brought by the Customer and not by you in an individual capacity.
  4. Limited Liability. To the maximum extent permitted by applicable law, our total liability for any claim arising out of or relating to the Service(s) shall be limited to (i) SGD 500 or (ii) the total amount paid by you for the Service(s) during the six (6) months immediately preceding the event giving rise to the claim. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business, goodwill, or data, even if we have been advised of the possibility of such damages.
INDEMNIFICATION
  1. You agree to indemnify, defend, and hold us harmless from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms.
MISCELLANEOUS
  1. Amendments. We may update these Terms, and Your continued use of the Service(s) indicates acceptance of the new Terms.
  2. Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.
  3. Entire Agreement. These Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between you and us regarding the Service(s) and supersede all prior or contemporaneous agreements or understandings.
  4. Third-Party Services. Your use of any third-party services is governed by the terms and conditions of those third parties. We are not responsible for the availability, performance, or content of any third-party services.
  5. Force Majeure. We are not liable for failures caused by events beyond Our control, like natural disasters or government actions.
  6. Jurisdictional Obligations. Users located in the United States, India, and Singapore must comply with applicable local laws and regulations. Users in the United States must comply with federal and state laws, including but not limited to data protection and privacy laws such as the California Consumer Privacy Act (CCPA). Users in India must comply with the Information Technology Act, 2000, and applicable rules thereunder. Users in Singapore must comply with the Personal Data Protection Act (PDPA).
  7. Governing Law and Dispute Resolution. These Terms shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or relating to these Terms shall be resolved through mediation or arbitration in accordance with the rules of the Singapore International Arbitration Centre (SIAC).
  8. Notices. Any notices under these Terms shall be deemed properly given when delivered by email or postal mail to the contact details you provided when creating your account.
  9. Relationship. Nothing in these Terms shall be deemed to create any partnership, joint venture, employment, or agency relationship between you and us.
  10. Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
  11. Survival. Any provisions which by their nature should survive termination of these Terms, including but not limited to provisions relating to intellectual property, confidentiality, indemnification, and limitation of liability, shall survive such termination.

  1. These Terms are provided in the English language. In the event of any inconsistency or discrepancy between the English version and any translated version, the English version shall prevail.
