These terms and conditions (“Terms”) outline the agreement between Siara Tech Solutions Pte Ltd and its affiliates (“Siara,” “Us,” “We,” “Our”) and the Users who create an account with Us (“You,” “Your”). By using Our services, You agree to these Terms and confirm that You have read and understand our Privacy Policy. You also confirm that You have the legal authority to agree to these Terms.
1. Grant of Rights
You are granted a limited, non-exclusive, and revocable right to use Our Services under Your Customer Account for internal business purposes, provided that You comply with these Terms. Both You and the Customer are responsible for any violations of these Terms.
2. Authorization to Process Personal Data
By accepting these Terms, You authorize Us, as the Data Processor, to process Your Personal Data as instructed by the Data Controller (the Customer) for the purpose of providing the Services.
3. Restrictions on Use
3.1 Acceptable Use: Depending on Your access level, You may use the Services only as intended. You agree not to misuse the Services, such as by distributing, modifying, or attempting to gain unauthorized access. You also agree not to transmit harmful or illegal content through the Services.
3.2 User Registration: If You are provided with a login, password, or other security details, You must keep them confidential and notify Us immediately of any unauthorized use. Your account information must be accurate and kept up-to-date. We may disable Your account if You fail to comply with these Terms.
3.3 Responsibility: You are responsible for all activities under Your account, including actions by anyone You allow to use the Services. Failure to maintain the confidentiality of Your login information may result in suspension or termination of Your account.
3.4 Access: You may only use the Services on devices You own or control, in accordance with these Terms.
3.5 Content Responsibility: We are not responsible for any content You post or upload. You are solely responsible for any loss or damage related to Your content.
3.6 Liability: We are not liable for any loss or damage resulting from Your reliance on information obtained from the Services, including any content posted by other Users.
4. Intellectual Property Rights
4.1 Ownership: We retain all intellectual property rights to the Services, including but not limited to the software, underlying technology, and documentation. You are granted only a limited right to use them as per these Terms.
4.2 Feedback: If You provide feedback, We may use it freely and without restriction.
4.3 Limited Rights: You are granted limited rights to use the Services. All other rights remain with Us.
5. Term, Termination, and Suspension
5.1 Term: Your account remains active for the same duration as the Customer’s Terms of Service.
5.2 Termination by Us: We may suspend or terminate Your access if You violate these Terms, if We are required by law, if the Customer instructs Us, or if We believe Your use harms others. We will provide You with notice of termination where feasible, including the reason for such termination.
5.3 Termination by Customer: The Customer may terminate Your account at any time.
6. Confidentiality and Data Privacy
6.1 Confidentiality: You must protect Our confidential information with at least the same care You use for Your own. You may only use it to fulfil Your obligations under these Terms.
6.2 Data Privacy: We process Your Personal Data in compliance with all applicable privacy laws, including GDPR, CCPA, and others as relevant. The Customer is responsible for ensuring compliance with privacy laws and policies applicable to its jurisdiction.
6.3 Disclosure: We may disclose Your information to comply with the law, protect our rights, or report suspected illegal activity.
7. Disclaimer of Warranties and Limitation of Liability
7.1 Services Provided “As Is”: Our Services are provided “as is,” with no warranties. We do not guarantee uninterrupted or error-free service.
7.2 No Professional Advice: We do not provide tax, legal, or accounting advice. Consult professionals for such advice.
7.3 Legal Proceedings: Any legal action related to Your use of the Services must be brought by the Customer, not by You individually.
7.4 Limited Liability: Our liability for any claim related to the use of the Services shall be limited to SGD 500 or the total amount paid by You for the Services in the last six months, whichever is less. We are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, or data.
8. Indemnification
You agree to indemnify Us against any claims, damages, or losses arising from Your breach of these Terms.
9. Miscellaneous
9.1 Amendments: We may update these Terms, and Your continued use of the Services indicates acceptance of the new Terms.
9.2 Assignment: You cannot transfer Your rights under these Terms without Our consent.
9.3 Entire Agreement: These Terms, including any referenced documents, constitute the entire agreement between Us.
9.4 Third-Party Services: Your use of third-party services is subject to their terms, and We are not responsible for them.
9.5 Force Majeure: We are not liable for failures caused by events beyond Our control, like natural disasters or government actions.
9.6 Jurisdictional Obligations: Users in the USA, India, and Singapore must comply with specific legal requirements. Users in the USA must comply with federal and state laws, including but not limited to data privacy laws (e.g., CCPA). Users in India must adhere to the Information Technology Act, 2000, and relevant rules. Users in Singapore must comply with the Personal Data Protection Act (PDPA).
9.7 Governing Law and Dispute Resolution: These Terms are governed by Singapore law. Disputes will be resolved through mediation or arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
9.8 Notices: Notices will be delivered by mail or email to the address You provided when creating Your account.
9.9 Relationship: These Terms do not create any partnership, joint venture, or employment relationship.
9.10 Severability: If any part of these Terms is found unenforceable, the rest remains in effect.
9.11 Survival: Certain clauses, like those related to intellectual property and confidentiality, will remain in effect even after termination.

These Terms are provided in English. If they are translated into any other language, the English version shall prevail in case of discrepancies.
